This Google Workspace Agreement ("Agreement") governs the purchase, provisioning, renewal, administration, support, and use of Google Workspace subscriptions purchased through Hostwover ("Hostwover", "we", "us", or "our").
This Agreement forms part of the contractual relationship between Hostwover and the person, business, organization, or other entity purchasing or using Google Workspace through Hostwover ("Customer", "you", or "your").
By ordering, renewing, activating, accessing, or using Google Workspace through Hostwover, you acknowledge that you have read, understood, and agreed to this Agreement.
This Agreement supplements the Hostwover Terms of Service, Privacy Policy, Acceptable Use Policy, Refund Policy, and any other terms applicable to your Hostwover account or order.
1. Scope
This Agreement applies to Google Workspace subscriptions, licenses, editions, add-ons, and related services ordered through Hostwover.
Google Workspace may include services such as Gmail, Google Drive, Google Meet, Google Calendar, Google Docs, Google Sheets, Google Slides, Google Chat, Google Forms, administrative tools, artificial intelligence functionality, and other services made available by Google depending on the edition purchased.
The exact features, storage allocations, usage limits, user limits, administrative features, and service availability are determined by the applicable Google Workspace edition and Google's then-current service specifications.
2. Hostwover's Role
Hostwover provides Google Workspace to Customers as an independent reseller, service provider, or intermediary.
Depending on the applicable provisioning arrangement, Hostwover may obtain Google Workspace subscriptions through an upstream distributor, reseller, partner platform, or other authorized supply channel.
Hostwover is responsible for the commercial relationship between Hostwover and the Customer, including matters such as:
- Customer ordering.
- invoicing.
- collection of payments.
- subscription administration.
- license quantity changes where supported.
- renewal handling.
- first-line customer support; and
- communications relating to subscriptions purchased through Hostwover.
Hostwover does not own, operate, or develop Google Workspace.
3. Relationship With Google
Google Workspace is developed, operated, and controlled by Google.
Hostwover is a separate and independent business from Google.
Nothing in this Agreement creates a partnership, employment relationship, joint venture, agency relationship, or ownership relationship between Hostwover and Google.
Google and its affiliates retain all rights in Google Workspace, Google's infrastructure, trademarks, software, documentation, interfaces, and related technology.
4. Google Terms
Your use of Google Workspace is subject not only to this Agreement but also to the applicable terms established by Google.
These may include, as applicable:
- Google Cloud Terms of Service.
- Google Workspace Service Specific Terms.
- Google Cloud Acceptable Use Policy.
- Google Workspace Services Summary.
- Google Workspace Service Level Agreement.
- Google Privacy Policy.
- Google Cloud Data Processing Addendum.
- applicable Google technical support terms.
- Google generative artificial intelligence policies.
- terms relating to Additional Services; and
- any other Google terms applicable to a particular Workspace service, edition, feature, or jurisdiction.
Google may amend its terms from time to time.
You are responsible for reviewing and complying with all Google terms applicable to your use of Google Workspace.
5. Acceptance of Google Terms
Google may require the Customer or an authorized administrator to separately accept Google's applicable terms through the Google Admin console or another Google interface.
You agree to complete any such acceptance when required.
Hostwover cannot accept Google's customer terms on your behalf unless expressly authorized and legally permitted to do so.
Failure to accept required Google terms may prevent activation or continued use of Google Workspace.
6. Conflict Between Terms
This Agreement primarily governs the commercial relationship between you and Hostwover.
Google's applicable terms govern Google's provision and operation of Google Workspace.
If this Agreement conflicts with mandatory Google terms concerning operation or use of Google Workspace, the applicable Google terms will control to the extent of that conflict.
Hostwover's Terms of Service will continue to govern matters relating to your Hostwover account, billing relationship, and other Hostwover services.
7. Eligibility
You must have the legal capacity and authority to enter into this Agreement.
If you purchase Google Workspace on behalf of a company, organization, employer, client, or other entity, you represent and warrant that you have authority to bind that entity to this Agreement and the applicable Google terms.
Google Workspace services intended for businesses or organizations must not be purchased using false, misleading, fraudulent, or unauthorized information.
8. Customer Account
A valid Hostwover account may be required to purchase and manage Google Workspace.
You are responsible for:
- maintaining accurate account information.
- maintaining secure Hostwover login credentials.
- securing your registered email address.
- keeping billing information current.
- monitoring notices sent by Hostwover; and
- notifying Hostwover promptly of unauthorized access.
Activity performed through your authenticated Hostwover account may be treated as authorized by you unless Hostwover has been notified otherwise.
9. Workspace Administrator Account
Google Workspace requires administrative management through Google-provided administrative functionality.
The Customer is responsible for maintaining control of its Google Workspace administrator credentials.
At least one appropriate administrator account should remain under the Customer's control.
You are responsible for ensuring that administrative credentials are provided only to trusted and authorized persons.
10. Domain Requirement
Most Google Workspace business subscriptions require a domain name controlled by the Customer.
The Customer must own, control, or be legally authorized to use the domain submitted for Google Workspace.
Submitting another party's domain without authorization is prohibited.
Hostwover may reject or suspend provisioning where domain ownership or authorization is disputed.
11. Domain Verification
Google may require the Customer to verify control of a domain before Google Workspace can become fully operational.
Verification may involve adding DNS records or performing another verification procedure designated by Google.
The Customer is responsible for completing required domain verification unless Hostwover expressly agrees to assist.
Failure to complete verification may delay or prevent activation.
12. DNS Configuration
Google Workspace may require DNS records including:
- TXT records.
- MX records.
- CNAME records.
- SPF records.
- DKIM records.
- DMARC records; or
- other records required by Google.
Where Hostwover manages the Customer's DNS, Hostwover may assist with configuration.
Where DNS is managed by another provider, the Customer is responsible for making the required changes.
13. DNS Propagation
DNS changes may require time to propagate through DNS infrastructure.
Hostwover does not guarantee that DNS updates will become visible globally immediately.
Delays caused by DNS caching, third-party DNS providers, registries, registrars, internet service providers, or other external systems are outside Hostwover's direct control.
14. Existing Google Workspace Accounts
If the domain is already associated with an existing Google Workspace, Cloud Identity, or related Google account, additional steps may be necessary before provisioning.
Hostwover may require the Customer to:
- verify ownership.
- retrieve or provide a transfer token.
- authorize a reseller relationship.
- remove an existing conflicting subscription.
- complete a transfer process; or
- contact the existing reseller or Google.
Hostwover cannot guarantee that an existing Google Workspace environment can immediately be transferred.
15. Subscription Editions
Hostwover may offer one or more Google Workspace editions.
Availability may vary by:
- country.
- billing address.
- currency.
- customer type.
- Google eligibility requirements.
- upstream provider availability; and
- changes made by Google.
Only the edition shown in the Customer's confirmed order is included in the subscription.
16. Features
Google determines the features included with each Google Workspace edition.
Hostwover does not guarantee that a specific feature will remain part of an edition indefinitely.
Google may introduce, modify, restrict, replace, rename, or discontinue features in accordance with its applicable terms.
Changes made by Google do not automatically create an entitlement to a Hostwover refund or credit.
17. Storage
Workspace storage limits and storage pooling rules are determined by Google and the edition purchased.
Storage may be calculated per user, pooled across an organization, subject to administrative controls, or otherwise structured as determined by Google.
The Customer is responsible for monitoring storage usage.
18. User Licenses
Each licensed user may require a valid Google Workspace license according to Google's licensing rules.
The Customer must maintain a sufficient number of licenses for its authorized users.
The Customer must not intentionally circumvent Google's licensing restrictions.
19. License Quantity
The license quantity selected during checkout forms part of the Customer's order.
Where supported, additional licenses may be purchased during the subscription term.
Reducing license quantities may be subject to restrictions based on:
- the subscription type.
- billing commitment.
- Google policies.
- the upstream provisioning platform; or
- the timing of the requested reduction.
20. Additional Licenses
Additional licenses may become chargeable immediately when provisioned.
Where applicable, charges may be calculated on a prorated basis for the remaining billing period or commitment term.
Exact billing treatment may depend on the subscription arrangement applicable to the Customer.
21. License Reduction
A request to remove a user account does not necessarily reduce the Customer's financial license commitment.
Where the subscription contains a committed number of licenses, charges may continue until the applicable renewal or commitment date.
Customers should therefore contact Hostwover before assuming that deleting a Workspace user will reduce billing.
22. Provisioning
Hostwover will submit eligible orders for provisioning after successful payment and completion of any required verification.
Provisioning may depend on external systems operated by Google or an upstream provider.
Provisioning times shown by Hostwover are estimates unless expressly stated otherwise.
23. Provisioning Delays
Provisioning may be delayed by circumstances including:
- payment review.
- fraud screening.
- incorrect customer information.
- domain conflicts.
- domain verification.
- existing reseller relationships.
- Google system delays.
- upstream provider delays.
- technical errors.
- compliance reviews; or
- service availability.
Hostwover will use commercially reasonable efforts to assist with resolvable provisioning issues.
24. Activation Date
The subscription may be treated as active when the Workspace subscription has been successfully provisioned or when the applicable provider begins charging Hostwover for the subscription.
The activation date may therefore differ from the date on which the Customer completes every subsequent configuration step.
25. Billing
The Customer agrees to pay all charges shown during checkout or otherwise agreed with Hostwover.
Charges may include:
- subscription fees.
- user license fees.
- add-on fees.
- upgrades.
- additional licenses.
- applicable taxes.
- currency conversion adjustments; and
- other amounts disclosed before purchase.
26. Currency
Google Workspace subscriptions sold through Hostwover may be priced in the currency displayed during checkout.
Prices may be calculated using provider costs, exchange rates, taxes, processing costs, and Hostwover's applicable commercial pricing.
27. Taxes
Prices may be subject to applicable taxes, duties, levies, or government charges.
Where Hostwover is legally required to collect tax, the applicable amount will be added to the order or otherwise included in the price as disclosed during checkout.
The Customer remains responsible for taxes it is legally required to pay directly.
28. Price Changes
Google, an upstream provider, or Hostwover may change the cost or price of Google Workspace.
A renewal may therefore be priced differently from the Customer's original purchase.
Where reasonably practicable, Hostwover will display or communicate the applicable renewal pricing before renewal.
Continued use following renewal constitutes acceptance of the applicable renewal price.
29. Promotional Pricing
Discounts or promotional prices may apply only to:
- the initial billing period.
- specified Customers.
- specified editions.
- specified quantities.
- new subscriptions; or
- other qualifying orders.
Unless expressly stated otherwise, promotional pricing does not guarantee the same price on renewal.
30. Billing Cycles
Google Workspace may be offered under monthly, annual, fixed-term, flexible, or other billing structures depending on availability.
The billing structure displayed and accepted during checkout will apply to the order.
A billing frequency such as "monthly payment" does not necessarily mean that the subscription has no longer-term commitment if the order states otherwise.
31. Commitment Terms
Certain Workspace subscriptions may include a contractual commitment for a specified period.
During a committed term, the Customer may remain financially responsible for the committed licenses even if the Customer:
- stops using Workspace.
- removes users.
- stops accessing the service; or
- requests early cancellation.
The commitment associated with an order will be determined by the order terms and applicable provider rules.
32. Automatic Renewal
Where automatic renewal is enabled, Hostwover may attempt to renew the subscription using the Customer's available account balance, stored payment method, or other authorized payment method.
The Customer is responsible for disabling automatic renewal before the applicable renewal deadline if the Customer does not wish to renew.
Disabling automatic renewal does not cancel fees already incurred.
33. Renewal
Workspace subscriptions may renew for another billing or commitment period unless cancelled in accordance with the applicable order terms.
Renewal availability may depend on continued availability of the applicable Workspace edition.
Hostwover may migrate a discontinued edition to a replacement edition where necessary and legally permitted, subject to applicable pricing and notice.
34. Failed Renewal
If renewal payment fails, Hostwover may retry payment.
Failure to make payment may result in:
- loss of promotional pricing.
- suspension.
- expiration.
- non-renewal.
- service interruption.
- inability to send or receive email; or
- eventual deletion of data by Google.
The Customer is responsible for maintaining valid payment information.
35. Suspension for Non-Payment
Hostwover may request or cause suspension of a Workspace subscription if payment is overdue.
Google or an upstream provider may also suspend services where the applicable reseller billing arrangement is no longer valid.
Hostwover is not liable for interruption resulting from a Customer's failure to make payment when due.
36. Refunds
Google Workspace subscriptions are generally provisioned specifically for the Customer and may create immediate financial commitments with Google or an upstream provider.
Accordingly, payments may be non-refundable once the subscription or license has been provisioned, except:
- where required by applicable law.
- where expressly permitted by the Hostwover Refund Policy.
- where Hostwover confirms otherwise in writing; or
- where Hostwover receives a corresponding refundable credit that it determines may be passed to the Customer.
A Customer's failure to use a provisioned subscription does not itself create a right to a refund.
37. Order Errors
The Customer must review the selected:
- domain.
- edition.
- license quantity.
- billing cycle.
- customer information; and
- order price
before confirming the purchase.
Hostwover is not responsible for incorrect selections entered or approved by the Customer.
38. Cancellation
Customers may request cancellation through an available Hostwover account function or by contacting Hostwover support.
Cancellation may mean either:
- cancellation of future renewal; or
- termination of an active subscription.
These actions may have different billing consequences.
A request to stop renewal does not automatically eliminate an existing financial commitment.
39. Early Cancellation
Where a subscription is subject to a fixed or committed term, early termination may not release the Customer from outstanding fees associated with that commitment.
Hostwover may require payment of remaining committed amounts where Hostwover remains liable for those charges to its provider.
40. Subscription Expiration
If a Workspace subscription expires or is terminated, access to Workspace services may be restricted or suspended.
The Customer should export or migrate required data before expiration.
Hostwover does not guarantee that data will remain recoverable after termination.
41. Data Export
The Customer is responsible for maintaining appropriate backups or exports of business-critical Workspace data where needed.
Google may provide data export or migration functionality, but availability and operation of such tools are controlled by Google.
Hostwover does not provide an independent backup of all content stored inside Google Workspace unless expressly stated in a separate service agreement.
42. Data Deletion
Following suspension, expiration, cancellation, or termination, Google may retain or delete Customer Data according to Google's then-current policies.
Hostwover does not control Google's internal data retention or deletion systems.
Customers must not rely on Hostwover to recover deleted Google Workspace data.
43. Customer Data
The Customer retains the rights it has in its data subject to the applicable Google terms.
Google processes Workspace data in accordance with Google's applicable contractual, privacy, and data processing terms.
Hostwover may process limited account, order, subscription, domain, billing, and support information necessary to provide and manage the service.
44. Privacy
Hostwover's processing of personal information is governed by the Hostwover Privacy Policy.
Google's processing of data relating to Google Workspace is governed by the applicable Google privacy and data processing terms.
The Customer is responsible for determining whether its own use of Google Workspace complies with applicable privacy and data protection laws.
45. End Users
The Customer is responsible for all individuals it authorizes to access Google Workspace under its organization.
The Customer must ensure that its End Users comply with:
- this Agreement where applicable.
- Google's applicable terms.
- Google's Acceptable Use Policy.
- applicable law; and
- the Customer's own organizational policies.
Actions by End Users may be treated as actions of the Customer.
46. Acceptable Use
Google Workspace must not be used for unlawful, abusive, fraudulent, or harmful activity.
Prohibited activity includes conduct prohibited by Google's then-current Acceptable Use Policy.
The Customer must not use Workspace to violate the legal rights of others or to facilitate use of Google services in violation of Google's applicable terms.
47. Spam and Messaging Abuse
The Customer must not use Google Workspace for unauthorized spam, phishing, fraudulent messaging, abusive bulk messaging, or other activity prohibited by Google.
Google may impose sending limits, temporary restrictions, or account suspensions.
Hostwover cannot override Google's anti-abuse systems.
48. Security Responsibilities
The Customer is responsible for securing its Workspace organization.
Appropriate measures may include:
- strong passwords.
- multi-factor authentication.
- administrator account protection.
- access reviews.
- secure endpoint devices.
- role-based access controls; and
- prompt removal of unauthorized users.
The Customer is responsible for damage resulting from compromised credentials where Hostwover did not cause the compromise.
49. Administrator Responsibility
Workspace administrators may have extensive control over organizational data, users, security settings, and service configuration.
The Customer is solely responsible for deciding who receives administrative privileges.
Hostwover is not responsible for actions performed by Customer-appointed administrators.
50. Unauthorized Access
If you suspect unauthorized access to your Hostwover or Google Workspace account, you must promptly:
- secure affected credentials.
- revoke unauthorized sessions where possible.
- review administrator accounts.
- enable additional security controls; and
- notify Hostwover where assistance is required.
Hostwover may require identity or account ownership verification before making security-sensitive changes.
51. Security Verification
For security purposes, Hostwover may require verification before assisting with:
- administrator recovery.
- subscription transfers.
- domain changes.
- ownership disputes.
- billing changes.
- reseller transfers; or
- disclosure of subscription information.
Failure to complete verification may prevent Hostwover from performing the requested action.
52. Support
Hostwover provides support for Workspace subscriptions purchased through Hostwover according to Hostwover's then-current support scope.
Support may include reasonable assistance with:
- provisioning.
- billing.
- subscription status.
- basic domain verification.
- basic DNS configuration.
- license management.
- reseller-related matters; and
- escalation of eligible provider-side issues.
53. Support Limitations
Unless expressly included in a separate paid service, Hostwover support does not include unlimited:
- Google Workspace administration.
- employee onboarding.
- data migration.
- mailbox migration.
- security auditing.
- Google Vault configuration.
- organizational unit design.
- endpoint management.
- application development.
- third-party application troubleshooting.
- legal compliance consulting; or
- custom Workspace deployment.
Such services may be offered separately.
54. Google Support
Certain issues may require assistance from Google or an upstream service provider.
Hostwover may need to escalate a support request.
The Customer agrees to provide information reasonably necessary for Hostwover to investigate or escalate an issue.
Response and resolution times for escalated matters are not entirely within Hostwover's control.
55. Service Availability
Google is responsible for operating the Google Workspace platform.
Hostwover does not guarantee uninterrupted or error-free availability of Google Workspace.
Google's applicable Service Level Agreement governs qualifying Google Workspace service availability commitments.
56. SLA Claims
If a Workspace disruption may qualify for a service credit under Google's applicable SLA, the Customer must notify Hostwover promptly and provide any information reasonably required to submit or evaluate the claim.
Any credit available to a resold Customer may depend on the credit made available through Google or the applicable upstream provider.
Hostwover will not owe an SLA credit exceeding the amount actually available or otherwise contractually owed for the affected Hostwover subscription.
57. Maintenance and Changes
Google may perform maintenance or make changes to its infrastructure and services.
Hostwover may also perform maintenance on its own billing, provisioning, or account-management systems.
Temporary interruption caused by maintenance does not constitute a breach of this Agreement where performed reasonably or by the underlying provider.
58. Third-Party Services
Workspace may integrate with third-party applications, marketplaces, APIs, extensions, add-ons, or external services.
Use of third-party services is subject to the terms and privacy practices of those providers.
Hostwover is not responsible for third-party products that it does not operate.
59. Google Marketplace Applications
Installation of Google Workspace Marketplace applications may grant external providers access to Customer information.
The Customer is responsible for reviewing the permissions, security, terms, and privacy practices of such applications before installation.
60. Artificial Intelligence Features
Google Workspace editions may include or offer artificial intelligence or generative artificial intelligence functionality.
Availability may vary by Workspace edition, user, country, language, age, administrator settings, or Google policy.
Use of such functionality is subject to Google's applicable terms and policies.
61. AI-Generated Output
Artificial intelligence-generated content may contain errors, omissions, inaccuracies, or similar content to output provided to other users.
The Customer is responsible for reviewing AI-generated output before relying on it.
Hostwover makes no warranty concerning the accuracy, legality, originality, or suitability of output generated by Google's AI systems.
62. Compliance
The Customer is responsible for determining whether Google Workspace is appropriate for its legal, regulatory, contractual, security, and compliance requirements.
Hostwover does not provide legal advice merely by reselling Google Workspace.
Businesses subject to specialized regulations should independently evaluate the applicable Google contractual and compliance documentation.
63. Export Controls and Sanctions
The Customer must comply with applicable export control, trade restriction, and sanctions laws.
Google or Hostwover may restrict or refuse service where necessary to comply with applicable law or provider requirements.
64. Intellectual Property
Google and its licensors retain all intellectual property rights in Google Workspace.
Hostwover retains all intellectual property rights in Hostwover's website, systems, branding, documentation, and proprietary services.
The Customer receives only those usage rights granted under the applicable agreements.
65. Google Trademarks
"Google", "Google Workspace", "Gmail", "Google Drive", "Google Meet", and other Google names and marks belong to Google and its applicable affiliates.
Use of those marks by Hostwover is solely for identifying the services being offered or resold and does not transfer any ownership rights.
66. No Resale by Customer
Unless expressly permitted by Google and Hostwover in writing, the Customer may not resell, sublicense, commercially redistribute, or act as a reseller of Workspace licenses purchased under its Hostwover subscription.
67. Transfer to Hostwover
Where supported, a Customer with an existing Google Workspace subscription may request to transfer reseller management or billing to Hostwover.
Such transfer may require:
- a valid Google transfer token.
- Customer authorization.
- compatible editions.
- compatible billing arrangements.
- upstream approval; and
- completion of Google-required procedures.
A transfer is not complete until confirmed by the applicable provisioning system.
68. Transfer Away From Hostwover
Subject to applicable subscription commitments, unpaid balances, verification requirements, and Google transfer procedures, the Customer may request to transfer Workspace reseller management away from Hostwover.
The Customer remains responsible for all amounts owed before the effective transfer date.
Hostwover may require reasonable security verification before releasing or modifying the reseller relationship.
69. Transfer Consequences
Transferring a Workspace subscription may affect:
- billing.
- renewal dates.
- discounts.
- commitments.
- pricing.
- support.
- add-ons.
- service configuration; or
- eligibility for certain products.
The Customer is responsible for reviewing the terms offered by the receiving reseller or Google.
70. Suspension by Google
Google may suspend Workspace or individual services in accordance with Google's applicable terms, including for security, legal, abuse, or policy reasons.
Hostwover may not be able to reverse a suspension imposed directly by Google.
Hostwover may assist the Customer with escalation where permitted.
71. Suspension by Hostwover
Hostwover may suspend or restrict service where reasonably necessary due to:
- non-payment.
- fraud.
- unauthorized activity.
- violation of this Agreement.
- violation of Hostwover policies.
- violation of Google policies.
- legal requirements.
- provider instructions.
- security risks; or
- threats to Hostwover systems or other Customers.
Where appropriate, Hostwover may provide an opportunity to remedy the issue.
72. Termination for Cause
Hostwover may terminate the Workspace subscription for material breach where permitted by applicable law and provider rules.
Material breach may include:
- fraudulent payment.
- repeated abuse.
- illegal activity.
- unauthorized resale.
- deliberate policy circumvention.
- false identity information.
- serious security abuse; or
- failure to pay amounts owed.
Termination does not eliminate amounts already due.
73. Google Service Discontinuation
If Google discontinues an edition, feature, service, reseller program, or product required for the subscription, Hostwover may:
- discontinue the affected service.
- migrate the Customer to a replacement.
- offer another available edition.
- provide a prorated credit where appropriate; or
- take another commercially reasonable action.
Hostwover is not liable for Google's decision to discontinue or materially change its own services.
74. Upstream Provider Changes
Hostwover may change the upstream provider, distributor, reseller platform, or provisioning route used to supply Google Workspace where reasonably necessary.
Hostwover may perform technical or account migrations required to maintain continuity of service, provided such actions are consistent with applicable Google requirements.
75. No Guarantee of Continued Reseller Availability
The availability of Google Workspace through Hostwover depends on continued access to appropriate supply, reseller, distributor, and Google systems.
Hostwover does not guarantee that every Workspace product or edition will remain available indefinitely.
76. Disclaimer
To the maximum extent permitted by law, Hostwover provides its reseller, billing, provisioning, and support services on an "as available" basis.
Google Workspace itself is supplied and operated by Google under Google's applicable terms.
Hostwover does not make warranties regarding Google Workspace beyond warranties expressly provided by law or expressly stated by Hostwover in writing.
77. Third-Party Platform Responsibility
Hostwover is not responsible for:
- defects in Google's software.
- Google outages.
- Google's security systems.
- changes to Google features.
- Google account enforcement decisions.
- Google data processing systems.
- third-party marketplace applications; or
- failures in infrastructure outside Hostwover's reasonable control.
This does not exclude liability that cannot legally be excluded.
78. Limitation of Liability
To the maximum extent permitted by applicable law, Hostwover will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from Google Workspace.
This includes, where legally permissible:
- lost profits.
- lost revenue.
- lost business opportunities.
- lost data.
- lost email.
- business interruption.
- reputational harm; or
- loss resulting from third-party service failures.
Any applicable limitation of liability in the Hostwover Terms of Service also applies to this Agreement.
79. Customer Indemnification
To the extent permitted by applicable law, the Customer agrees to indemnify and hold Hostwover harmless against third-party claims, losses, liabilities, and reasonable costs arising from:
- unlawful use of Workspace.
- Customer Content.
- violations of third-party rights.
- violations of Google policies.
- unauthorized domain use.
- Customer administrator actions; or
- breach of this Agreement.
80. Force Majeure
Hostwover will not be responsible for delay or failure caused by circumstances beyond its reasonable control.
Such circumstances may include:
- internet outages.
- Google outages.
- cloud infrastructure failures.
- DNS failures.
- cyberattacks.
- natural disasters.
- governmental action.
- war.
- civil disturbance.
- telecommunications failures.
- power failures.
- labor disruption; or
- upstream provider outages.
81. Notices
Hostwover may send notices relating to Google Workspace through:
- email.
- the Hostwover account dashboard.
- billing notifications.
- support tickets.
- website notices; or
- other reasonable electronic methods.
The Customer is responsible for maintaining a functioning contact email address.
82. Electronic Communications
The Customer agrees that electronic communications may satisfy applicable requirements for written notice where permitted by law.
83. Changes to This Agreement
Hostwover may update this Agreement to reflect:
- changes to Google terms.
- changes to Google Workspace.
- changes to Hostwover services.
- legal or regulatory requirements.
- security requirements.
- billing changes; or
- operational improvements.
The "Last Updated" date will identify the most recent revision.
Material changes will be communicated where required by applicable law.
84. Continued Use
Continued purchase, renewal, or use of Google Workspace through Hostwover after updated terms become effective constitutes acceptance of the updated Agreement to the extent permitted by applicable law.
85. Governing Hostwover Terms
Matters not specifically addressed in this Agreement are governed by the Hostwover Terms of Service and other applicable Hostwover policies.
86. Severability
If any provision of this Agreement is found invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
87. No Waiver
Failure by Hostwover to enforce a provision of this Agreement does not waive Hostwover's right to enforce that provision later.
88. Assignment
The Customer may not assign or transfer this Agreement without Hostwover's prior written consent where consent is legally permitted to be required.
Hostwover may assign or transfer its rights and obligations as part of a restructuring, merger, acquisition, business transfer, service-provider migration, or similar transaction, subject to applicable law.
89. Entire Agreement
This Agreement, together with the Hostwover Terms of Service, applicable policies, confirmed order details, and applicable Google terms, constitutes the agreement governing Google Workspace purchased through Hostwover.
90. Order of Precedence
Unless mandatory law requires otherwise, conflicts will generally be resolved in the following manner:
- applicable mandatory law.
- Google's mandatory service terms for operation and use of Google Workspace.
- the Customer's confirmed Hostwover order terms.
- this Google Workspace Agreement.
- Hostwover's general Terms of Service and applicable policies.
This order applies only to the extent necessary to resolve an actual conflict.
91. Customer Responsibility Before Cancellation
Before cancelling, transferring, or allowing Workspace to expire, the Customer should:
- export important data.
- verify administrator access.
- migrate required email.
- update external accounts using Workspace addresses.
- preserve required business records.
- review third-party integrations; and
- confirm the consequences of termination.
Hostwover is not responsible for data the Customer fails to preserve before termination.
92. No Data Migration Guarantee
Where Hostwover provides migration assistance, successful migration is not guaranteed unless expressly agreed in writing.
Migration may be affected by:
- data volume.
- source provider restrictions.
- corrupted data.
- unsupported formats.
- API limits.
- access credentials.
- Google limits; or
- third-party infrastructure.
93. Abuse Investigations
Hostwover may investigate suspected fraud, abuse, account compromise, or policy violations.
The Customer agrees to reasonably cooperate with such investigations.
Hostwover may share relevant information with Google, upstream providers, payment processors, law enforcement, or authorities where permitted or required by law.
94. Verification Information
Hostwover may request additional information before provisioning or modifying Workspace, including information reasonably necessary to confirm:
- identity.
- business authorization.
- domain ownership.
- payment authorization.
- administrative authority; or
- account ownership.
95. Fraud Prevention
Hostwover may reject, delay, suspend, or cancel orders that present a reasonable risk of fraud, payment abuse, account takeover, sanctions violations, or other unlawful activity.
96. Chargebacks
Initiating a payment chargeback does not automatically terminate a Workspace financial commitment.
Where a chargeback relates to a legitimately provisioned subscription, Hostwover may suspend the subscription and pursue amounts lawfully owed.
97. Billing Disputes
Customers should report suspected billing errors promptly.
A billing dispute does not authorize the Customer to continue using unpaid services indefinitely.
Hostwover will investigate reasonably documented billing disputes.
98. Service Communications
Hostwover may send operational communications necessary for provision of Workspace even where the Customer has opted out of marketing communications.
Operational messages may include:
- renewal notices.
- suspension warnings.
- security notices.
- provisioning updates.
- service changes; and
- required policy notices.
99. Language
Hostwover may provide translations of this Agreement for convenience.
Where legally permitted and unless Hostwover expressly states otherwise, the English version will control in the event of a material inconsistency between translations.
100. Headings
Section headings are provided for convenience and do not alter the interpretation of this Agreement.
101. Definitions
For purposes of this Agreement:
"Customer" means the person or entity purchasing or using Google Workspace through Hostwover.
"End User" means an individual authorized by the Customer to use Workspace.
"Google" means the applicable Google entity providing Google Workspace.
"Google Terms" means Google's then-current terms, policies, service-specific requirements, and contractual documents applicable to Workspace.
"Hostwover" means the Hostwover service through which the Customer purchases or manages the subscription.
"License" means an entitlement assigned or made available for a Workspace user or service.
"Subscription" means the Google Workspace service purchased through Hostwover.
"Workspace" or "Google Workspace" means the applicable business productivity and communication services provided by Google.
102. Customer Acknowledgment
By purchasing or using Google Workspace through Hostwover, the Customer acknowledges that:
- Google Workspace is operated by Google.
- Hostwover provides a commercial reseller and service-management relationship.
- Google's applicable terms also govern use of Workspace.
- Workspace functionality and limits may change.
- license commitments may continue despite reduced usage.
- the Customer is responsible for its domain and administrators.
- the Customer must maintain appropriate backups or exports where required.
- non-payment may cause service suspension.
- cancellation may not eliminate committed charges; and
- Hostwover cannot control Google's infrastructure or enforcement decisions.

104. Effective Date
This Agreement becomes effective for a Customer when the Customer first orders, renews, activates, or continues using Google Workspace through Hostwover after this Agreement becomes applicable.
105. Agreement Acceptance
By clicking an order, checkout, purchase, renewal, activation, or equivalent confirmation button associated with Google Workspace, or by using a Workspace subscription supplied through Hostwover, you confirm that you:
- have read this Agreement.
- understand this Agreement.
- have authority to accept it.
- agree to comply with it; and
- understand that use of Google Workspace is additionally governed by Google's applicable terms.
